PROCEDURES RELATING TO THE IMPLEMENTATION OF COMPETITION POLICY EUROPEAN COMMISSION Prior notification of a concentration (Case M.9796 – Uniqa/Axa (Insurance, asset management and pensions – Czech Republic, Poland and Slovakia)) (Text with EEA relevance) (2020/C 216/13) 1. On 23 June 2020, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1). This notification concerns the following undertakings: — Uniqa Österreich Versicherungen AG (‘Uniqa’, Austria), jointly controlled by Raiffeisen Bank International AG (‘RBI’, Austria) and Uniqa Versicherungsverein Privatstiftung (‘Uniqa PS’, Austria), — Axa S.A. (‘Axa’, France). Uniqa acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of parts of Axa. The concentration is accomplished by way of purchase of shares. 2. The business activities of the undertakings concerned are: — Uniqa is active in life and non-life insurance, re-insurance and related services. — RBI is a corporate and investment bank, with subsidiaries in Slovakia and Czechia Republic. — Uniqa PS is a private foundation whose exclusive beneficiaries are policyholders of Uniqa. — The Target comprises Axa’s insurance, asset management and pensions business in the Czechia Republic, Poland and Slovakia. 3.
