PROCEDURES RELATING TO THE IMPLEMENTATION OF COMPETITION POLICY EUROPEAN COMMISSION Prior notification of a concentration (Case M.9383 — ZF/Wabco) (Text with EEA relevance) (2019/C 424/06) 1. On 9 December 2019, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1). This notification concerns the following undertakings: — ZF Friedrichshafen AG (Germany), — WABCO Holdings Inc. (USA). ZF Friedrichshafen AG acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of WABCO Holdings Inc. The concentration is accomplished by way of purchase of shares. 2. The business activities of the undertakings concerned are: — ZF Friedrichshafen AG is a global technology company that develops, manufactures and distributes products and systems for passenger cars, commercial vehicles and industrial technology, — WABCO Holdings Inc, is a global supplier of braking control systems, technologies and services that improve safety, efficiency and connectivity of commercial vehicles including trucks, buses and trailers. 3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. 4.
