On 21 September 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1). This notification concerns the following undertakings: — Sony Corporation of America (‘Sony’, United States), belonging to the group Sony, — EMI Music Publishing (‘EMI MP’, United Kingdom). Sony acquire(s) within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of EMI MP. The concentration is accomplished by way of purchase of shares. 2. The business activities of the undertakings concerned are: — for Sony: U.S. subsidiary of Sony Corporation of Japan, which, directly and through its subsidiaries, is active globally in various businesses, including electronics products, games, entertainment services – including motion pictures, television programming, recorded music, and music publishing – , and financial services, — for EMI MP: music publishing business jointly controlled by Sony and Mubadala, whose catalogue has been administered by Sony/ATV Music Publishing (‘Sony/ATV’) since 2012. 3.
